1. Acceptance of Terms

By accessing or using ChargeGuard ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. ChargeGuard is operated by ChargeGuard ("we", "us", "our").

2. Description of Service

ChargeGuard is an AI-powered chargeback management platform that helps merchants generate professional dispute responses, manage evidence, and track chargeback outcomes. The Service includes dispute response generation, evidence vault management, analytics, and related features.

3. Accounts & Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

4. Subscription Plans & Billing

Plans. We offer the following subscription plans:

  • Starter — $149/month (up to 25 disputes/month)
  • Pro — $299/month (up to 100 disputes/month)
  • Growth — $499/month (up to 300 disputes/month)
  • Enterprise — Success-based pricing (percentage of recovered amount, unlimited disputes)

Annual billing is available at a discounted rate. All prices are in USD. We reserve the right to change pricing with 30 days' written notice.

Payments. Payments are processed securely through Stripe. Subscriptions auto-renew at the end of each billing period unless canceled. Annual subscriptions are non-refundable except as required by applicable law.

Enterprise Billing. Enterprise plan fees are calculated as a percentage of successfully recovered chargeback amounts during the billing period. Volume discounts may apply based on annual recovery volume.

5. Free Trial

We may offer a free trial period. Trial usage is subject to dispute limits and feature restrictions. At the end of the trial, you must subscribe to a paid plan to continue using the Service. We reserve the right to modify or discontinue trial offerings at any time.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to facilitate fraud
  • Submit false, misleading, or fabricated chargeback dispute information
  • Reverse engineer, decompile, or otherwise attempt to extract the source code
  • Resell or redistribute access to the Service without written permission
  • Interfere with or disrupt the Service's infrastructure
  • Use automated tools to access the Service beyond what is provided through our API

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, AI models, and software — are owned by ChargeGuard and protected by copyright, trademark, and other intellectual property laws. Dispute responses generated by the Service are owned by you, the merchant.

8. User Data & Privacy

Our collection and use of personal data is governed by our Privacy Policy, incorporated by reference. By using the Service, you consent to data collection as described therein.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee any specific outcome for chargeback disputes. AI-generated responses are tools to assist your dispute process — you are responsible for reviewing and approving all responses before submission. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, ChargeGuard shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless ChargeGuard from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

You may cancel your subscription at any time from your account settings. Upon cancellation, your access will continue until the end of the current billing period. We may suspend or terminate your account for violation of these Terms, with notice where reasonably possible. Upon termination, your right to use the Service ceases immediately.

13. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of France. Any disputes shall be resolved in the courts of France, unless otherwise required by applicable consumer protection laws.
